Ason Towers Care Hub – Faster Payments / Early Payment Service

Terms of Use

This Agreement is made between Ason Towers Care Hub Pty Ltd (ABN [to be inserted]) (“Ason Towers”, “we”, “us”, or “our”) and you, being a registered Provider or Worker using the Ason Towers Care Hub platform (“you” or “your”).


RECITALS

A. You provide care, support, or allied health services to customers, participants, or clients (“Customers”), resulting in fees or charges becoming payable to you (“Service Amounts”).

B. Ason Towers operates a digital marketplace platform and may, from time to time, offer an optional early payment or invoice facilitation service (“Faster Payments Service”).

C. Where eligible and accepted by Ason Towers, you may request that certain Service Amounts be assigned or transferred for early payment on the terms set out in this Agreement.

D. Ason Towers retains absolute discretion as to whether it accepts any Service Amount for early payment.


1. Offer and Transfer of Service Amounts

1.1 Offer

When you opt into the Faster Payments Service, you are offering to assign to Ason Towers the Service Amounts generated after:

• services have been delivered; and
• the Customer has approved the relevant hours, invoices, or claims (including NDIS or aged care approvals where applicable).

You must provide, upon request:

• service agreements or booking confirmations
• invoices or claims
• approvals or confirmations from Customers or funding bodies
• any supporting documentation reasonably required to assess eligibility


1.2 Transfer and Payment

If Ason Towers accepts your offer:

• we may pay you an agreed percentage (which may be up to 100%) of the accepted Service Amount within the stated processing timeframe
• once payment is made, the accepted Service Amount is deemed assigned to Ason Towers

If you receive any payment relating to a transferred Service Amount:

• you must notify Ason Towers immediately
• you hold those funds on trust for Ason Towers
• you must remit them in full without deduction

You must notify Ason Towers within 48 hours if a Customer disputes, rejects, or delays payment.


1.3 No Assumption of Care or Service Obligations

You acknowledge and agree that:

• Ason Towers does not assume responsibility for the delivery, quality, safety, or legality of services
• all obligations relating to care delivery remain solely with you
• Ason Towers does not become an employer, principal, provider, or regulator


2. Rights of Ason Towers

Ason Towers may:

• notify Customers of the assignment of Service Amounts
• collect transferred amounts directly
• negotiate, compromise, or extend payment terms at its discretion

All recovery actions are undertaken at Ason Towers’ discretion.


3. Warranties

You warrant that:

• Service Amounts are valid, accurate, and payable
• services were delivered lawfully and within applicable NDIS, aged care, or funding caps
• no prior assignment exists
• no known disputes, offsets, or credits apply
• all regulatory, tax, and compliance obligations have been met

Each warranty is given on an ongoing basis.


4. Undertakings

You must notify Ason Towers promptly of:

• any dispute, insolvency event, or material change
• any incorrect or misleading information previously provided

You must allow reasonable access to relevant records where required.


5. Events of Default

An Event of Default includes:

• breach of this Agreement
• false warranties
• insolvency or loss of registration
• regulatory action affecting service delivery


6. Consequences

Upon an Event of Default, Ason Towers may:

• suspend or terminate the Faster Payments Service
• withhold or recover payments
• terminate this Agreement immediately


7. Power of Attorney

You appoint Ason Towers as your limited attorney solely to give effect to assigned Service Amounts.


8. Suspension and Termination

Either party may terminate this Agreement on notice.

Termination does not affect previously assigned Service Amounts.


9. Costs, GST & Tax

Each party bears its own costs.

GST is payable where applicable in accordance with Australian law.


10. Indemnity

You indemnify Ason Towers against losses arising from:

• breaches of this Agreement
• regulatory non-compliance
• service delivery failures
• misleading information


11. Assignment

You may not assign this Agreement without consent.

Ason Towers may assign freely.


12. No Reliance

You acknowledge you have not relied on representations outside this Agreement.


13. Notices

Notices may be given electronically via:

• registered email
• platform notifications


14. Confidentiality

Each party must protect confidential information, subject to lawful disclosure.


15. Governing Law

This Agreement is governed by the laws of Australia, with non-exclusive jurisdiction.


16. Entire Agreement

This document constitutes the entire agreement regarding Faster Payments.
